Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Canopy Inventory platform and website at canopyinventory.com(“Service”), operated by Canopy Inventory Ltd (“Canopy”, “we”, “us”, or “our”), a company registered in England and Wales. By accessing or using the Service, you agree to be bound by these Terms.
1. Description of service
Canopy is a cloud-based inventory management platform for Shopify merchants. The Service provides features including but not limited to: real-time stock tracking, weeks cover forecasting, AI-assisted reorder intelligence, purchase order management, supplier management, and reporting. We may update, modify, or discontinue features at any time, and will give reasonable notice of material changes where possible.
2. Accounts
To use the Service, you must create an account. You are responsible for:
- Providing accurate and up-to-date account information
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
You must be at least 18 years old and authorised to enter into contracts on behalf of any organisation you represent. Notify us immediately at hello@canopyinventory.com if you suspect unauthorised access to your account.
3. Billing and payment
Canopy is offered on a subscription basis with plans billed monthly or annually. By subscribing, you authorise us to charge your payment method on a recurring basis. All fees are stated in British pounds (GBP) and are exclusive of VAT unless otherwise stated.
- Free trial. Where early access is offered, your payment method will not be charged until after the early access period ends and you choose to continue with a paid plan.
- Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial periods.
- Price changes.We will give at least 30 days' notice of any price increase. Continued use of the Service after a price change constitutes acceptance of the new price.
- Failed payments. If payment fails, we may suspend access to the Service after a reasonable grace period. We will notify you before suspension.
4. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Attempt to gain unauthorised access to any part of the Service or its infrastructure
- Reverse engineer, decompile, or attempt to extract source code from the Service
- Use the Service to transmit malware, spam, or any harmful content
- Resell, sublicense, or otherwise commercialise access to the Service without our written consent
- Interfere with or disrupt the integrity or performance of the Service
- Use automated tools (bots, scrapers) to access or extract data from the Service, except via our official API
We reserve the right to suspend or terminate your account immediately if you breach these acceptable use provisions.
5. Intellectual property
All intellectual property rights in the Service — including software, design, trademarks, and content — are owned by or licensed to Canopy Inventory Ltd. Nothing in these Terms grants you ownership of any intellectual property.
You retain ownership of all data you upload to or generate within the Service (“Your Data”). You grant us a limited licence to use Your Data solely to provide and improve the Service. We will not use Your Data for any other purpose.
6. Data and privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described therein.
7. Third-party services
The Service integrates with third-party platforms including Shopify, Xero, and others. Your use of those platforms is governed by their respective terms of service. We are not responsible for the availability, accuracy, or conduct of third-party services.
8. Availability and uptime
We aim to make the Service available 99.9% of the time, but we do not guarantee uninterrupted availability. Planned maintenance will be communicated in advance where possible. We are not liable for downtime caused by third-party infrastructure, force majeure events, or factors outside our reasonable control.
9. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or that any inventory data, forecasts, or recommendations will be accurate.
10. Limitation of liability
To the maximum extent permitted by applicable law, Canopy Inventory Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption, arising from your use of or inability to use the Service.
Our total liability to you for any claim arising under or in connection with these Terms shall not exceed the greater of: (a) the total fees you paid to us in the 12 months preceding the claim, or (b) £500.
Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited by law.
11. Indemnification
You agree to indemnify and hold harmless Canopy Inventory Ltd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, Your Data, or your breach of these Terms.
12. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you breach these Terms or if we reasonably believe continued access poses a security or legal risk. Upon termination:
- Your right to access the Service ends immediately
- You may export Your Data for up to 30 days after termination
- After 30 days, Your Data will be deleted from our systems
13. Changes to these Terms
We may update these Terms from time to time. We will give at least 30 days' notice of material changes by email or via a notice in the Service. Continued use of the Service after the effective date of the updated Terms constitutes acceptance.
14. Governing law and disputes
These Terms are governed by the laws of England and Wales. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
